Terms of service

• ToS: these terms of service.
• Upvoted, the Platform or the Service: the SaaS public-roadmap-with-voting service accessible via upvoted.pro and its subdomains.
• Ekklo SAS: the company publishing the Service, a French simplified joint-stock company with a share capital of €4, registered with the Paris Trade and Companies Register under number 931 675 706.
• Tenant: a customer workspace identified by a unique identifier. A Tenant corresponds to one Stripe customer and is isolated from other Tenants at the database level.
• Administrator: a person with an account allowing access to a Tenant's Upvoted dashboard.
• Voter: an end user who votes or comments on a Tenant's public roadmap. Voters do not have a persistent account, they authenticate via a one-time magic link for each action.
• Personal Data: information relating to identified or identifiable individuals (GDPR article 4).
• GDPR: Regulation (EU) 2016/679 and the French Data Protection Act n° 78-17.
• Plan: subscription tier chosen by a Tenant (Free, Starter, Growth, Business).

These ToS define the conditions for accessing and using the Service. You must accept them in full to use Upvoted; otherwise, you must refrain from using it.

Ekklo SAS may modify the ToS at any time to accommodate legal, regulatory, or technical developments. The version in force is always available at upvoted.pro/en/legal/terms-of-service. Substantial changes are notified to Administrators by email at least 30 days before they take effect.

The Service is intended for businesses (B2B). To create an account, you must be:

• An adult natural person legally capable of entering into contracts under French law, or
• A legal entity duly represented by an authorized natural person.

By signing up, you warrant that your use is professional and that you have authority to bind the entity you represent.

Upvoted is a SaaS service allowing a Tenant to publish a public roadmap of product features, collect suggestions and votes from Voters, and communicate status changes on features.

Specifically, the Service enables:

• Creation of one or more public roadmaps (depending on the Plan)
• Publication of "ideas" (features) with a status among three fixed values: Planned, In Progress, Shipped
• Receiving votes from Voters authenticated via magic link (without account creation)
• Receiving comments (one level, no threading)
• Embedding the roadmap on any third-party site via a zero-dependency JavaScript widget
• Use of a {tenant}.upvoted.pro subdomain or a custom domain (Growth+ Plan, V2)

The Service is provided "as is". Ekklo SAS endeavours to ensure 24/7 availability outside scheduled maintenance windows and force majeure events (target 99.9% availability, 99.95% in V2 on paid Plans).

5.1 Account creation

Use of the Service requires prior creation of an Administrator account via a work email address and a password (10 characters minimum). Account creation constitutes acceptance of these ToS. An account allows creation of a unique Tenant with a URL slug chosen at sign-up.

You are solely responsible for the accuracy of information provided, its update, the confidentiality of your password, and all activities performed from your account.

5.2 Email verification

Sign-up is only finalized after email verification via a single-use link sent by email (48-hour TTL). Until verification is performed, access to the dashboard is blocked.

5.3 Account deletion

You can delete your account at any time via dashboard settings. Deletion results in complete deletion of Tenant data within 30 days. You can cancel deletion within this window; afterwards, data is permanently lost.

5.4 Suspension by Ekklo SAS

Ekklo SAS may suspend or close an account in case of ToS violation, after email notification and a 5-business-day cure period. Immediate suspension applies in case of proven fraud, identity theft, or manifestly illegal use of the Service.

You agree not to use the Service to:

• Distribute illegal, defamatory, harassing, discriminatory content, or content violating privacy
• Distribute spam, malicious links, or unsolicited commercial content
• Attempt to access data of other Tenants or circumvent multi-tenant isolation mechanisms
• Artificially manipulate votes (bots, vote-buying, fake accounts)
• Overload the infrastructure (rate-limiting bypass, mass scraping)
• Use the Service for direct competitive activities (build a competing product based on Upvoted's features)

Any violation may result in immediate account suspension and removal of disputed content, without prejudice to potential legal action.

7.1 Plans and prices

Prices are displayed in euros (€), VAT-inclusive or VAT-exclusive as indicated, on the upvoted.pro/en/pricing page. Billing is monthly or annual (2-month savings on the annual price) at your choice.

7.2 Free trial

Every new Tenant gets a 14-day free trial of Growth Plan features, with no credit card required. At expiration, the Tenant automatically switches to the Free Plan.

7.3 Payment

Payments are processed by Stripe Inc. via a secure integration. Card data flows directly and encrypted to Stripe servers; Ekklo SAS never has access to your payment data. EU VAT is calculated and collected automatically by Stripe Tax based on your country.

7.4 Annual subscriptions are non-refundable

Annual subscriptions are paid in advance and are non-refundable beyond 14 days following subscription, except in case of manifest error attributable to Ekklo SAS. No partial refund is granted in case of early termination.

7.5 Plan limit overage

If you exceed your Plan limits (number of Voters, number of boards), a graceful degradation policy applies: 7 days of soft block (upgrade modal shown on every limit-hitting action), then 30 days of read-only mode, then indefinite read-only until upgrade. No data is deleted by this overage policy.

7.6 Price changes

Ekklo SAS may change its prices at any time. New prices apply to the next billing cycle for existing subscriptions, with email notification at least 30 days in advance.

Upvoted provides a JavaScript widget allowing roadmap embedding on any third-party site via the <script src="https://cdn.upvoted.pro/widget.js"> tag. By using it, you acknowledge that:

• The widget loads from Upvoted's Cloudflare infrastructure; its availability depends on ours
• The widget makes API requests to api.upvoted.pro to retrieve votes and submit new votes
• The widget sets no cookies and establishes no cross-site identifier, this is a structural commitment on our part
• You remain responsible for the integration on your site, compliance with your Content Security Policy, and informing your visitors about the widget's presence

Ekklo SAS reserves the right to block a widget in case of manifestly abusive usage (excessive API consumption, integration on a site contrary to acceptable use as defined in §6).

Personal data processing is governed by our privacy policy, which forms an integral part of these ToS.

As a Tenant, you are the controller of personal data collected via your public roadmap (Voter emails, comment content). Ekklo SAS acts as a processor within the meaning of GDPR article 28 for this data. A Data Processing Agreement (DPA) is available on request at [email protected] and is signed automatically for Business Plans.

By you: you can terminate your subscription at any time via the Stripe billing portal accessible from your dashboard. Termination takes effect at the end of the current billing period; the account then switches to the Free Plan.

By Ekklo SAS: we may terminate your account with 30 days' notice for any reason, or immediately in case of serious ToS violation. In such case, we offer you the option to export your data for 30 days before final deletion.

Ekklo SAS retains all intellectual property rights over the Service, including logos, trademarks (Upvoted®), source code, database, graphic charter, documentation, and any content provided by Ekklo SAS ("Ekklo IP").

You retain full ownership of content you publish on your roadmap (feature titles, descriptions, comments, logos, your tenant's graphic charter). You grant Ekklo SAS a non-exclusive, worldwide, royalty-free license to host, display and transmit this content strictly within the framework of providing the Service.

Any unauthorized use of Ekklo IP constitutes counterfeiting punishable by the Intellectual Property Code.

The Service is provided "as is" without warranty of any kind. Ekklo SAS does not warrant:

• The absence of interruption or error in the Service
• The accuracy, reliability, or relevance of content published by Tenants
• Compatibility with any particular undocumented use

To the extent permitted by applicable law, Ekklo SAS's liability is capped at amounts actually paid by the Tenant during the 12 months preceding the event giving rise to the damage. Indirect damages, loss of revenue, loss of customers, and data loss (beyond our backup obligation described on the Security page) are excluded.

This limitation does not apply in case of gross or intentional fault by Ekklo SAS.

Neither party may be held liable for breach of its obligations in case of a force majeure event, that is, an event beyond its reasonable control, unforeseeable and insurmountable, in accordance with article 1218 of the French Civil Code. The following are considered as such: major internet infrastructure outages, large-scale DDoS attacks, government decisions, armed conflicts.

The affected party informs the other party without delay and uses its best efforts to limit consequences. If the impediment is permanent, the parties are released from their obligations in accordance with articles 1351 and 1351-1 of the Civil Code.

These ToS are subject to French law. Any dispute relating to their formation, interpretation, or execution falls under the jurisdiction of the courts of Paris, subject to mandatory jurisdiction rules.

In accordance with article L612-1 of the French Consumer Code, consumer customers have the right to resort free of charge to a consumer mediator with a view to amicable resolution of disputes with Ekklo SAS, after attempting a prior complaint directly with Ekklo SAS via [email protected].

You may also use the European online dispute resolution platform accessible via ec.europa.eu/consumers/odr.

These mediation provisions do not apply to purely B2B relationships (when the customer acts within their professional activity).
